Last updated: August 26, 2026
1. Scope of Services
Font & Co. (“we,” “us,” “our”) provides company formation coordination services for the State of Florida, including: preparation and submission of Articles of Organization or Articles of Incorporation to the Florida Division of Corporations, EIN registration with the IRS if requested, and registered agent service if selected. These services are limited strictly to administrative filing coordination.
2. Not a Law Firm; No Attorney-Client or Advisory Relationship
Font & Co. is not a law firm, accounting firm, or licensed tax advisory practice. No attorney-client, accountant-client, or fiduciary relationship is created by use of our services. Nothing provided through our website, forms, communications, or services constitutes legal, tax, financial, or accounting advice. Clients are strongly encouraged to consult a licensed attorney or certified public accountant for guidance specific to their situation, including entity selection, tax elections, equity structuring, and ongoing compliance obligations.
3. Client Responsibility for Information Accuracy
The client is solely responsible for the accuracy, completeness, and legality of all information submitted through our formation forms, including but not limited to entity name availability, registered agent eligibility, and the legal capacity of all listed members, managers, officers, and directors. Font & Co. is not responsible for delays, rejections, penalties, or additional costs resulting from inaccurate, incomplete, false, or outdated information provided by the client.
4. Authorization to File on Client's Behalf
By submitting a formation request and completing the required consent and authorization steps, including electronic signature, the client authorizes Font & Co. to prepare and submit formation documents to the State of Florida and, if applicable, the IRS, on the client's behalf, using the information provided. This authorization is limited to the specific filing described in the client's submission and does not extend to any other legal or business matter.
5. No Guarantee of Approval
Font & Co. does not guarantee that any filing will be approved by the Florida Division of Corporations, the IRS, or any other governmental authority. Approval, rejection, and processing timelines are determined solely by these third parties and are outside Font & Co.'s control.
6. Processing Timelines
Estimated processing timelines (e.g., 3–5 business days) are provided for informational purposes only and are not guaranteed. Font & Co. is not liable for delays caused by the Florida Division of Corporations, the IRS, Stripe, Stripe Atlas, or any other third party.
7. Third-Party Services
Payment processing is provided by Stripe. Delaware formations are coordinated through Stripe Atlas, a third-party platform not owned or operated by Font & Co. Font & Co. is not responsible for the acts, omissions, errors, downtime, or policies of Stripe, Stripe Atlas, the Florida Division of Corporations, the IRS, or any other third-party service.
8. Electronic Signature Consent
By typing your full legal name in the designated signature field and submitting the form, you consent to the use of electronic signatures and records in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable Florida law. Your electronic signature has the same legal effect as a handwritten signature.
9. Fees and Payment
Fees for Florida formation services, EIN registration, and registered agent service are as displayed at the time of purchase. Payment is processed via Stripe. A separate coordination fee applies to Delaware formations; the Stripe Atlas formation fee is paid directly to Stripe Atlas by the client and is not collected or controlled by Font & Co.
10. Indemnification
The client agrees to indemnify and hold harmless Font & Co., its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) inaccurate information provided by the client, (b) the client's use of the formed entity, (c) the client's violation of any law or third-party right, or (d) any dispute between the client and third parties related to the formed entity.
11. Limitation of Liability
To the maximum extent permitted by law, Font & Co.'s total liability for any claim arising from these services is limited to the amount paid by the client for the specific service giving rise to the claim. Font & Co. is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities.
12. Dispute Resolution
Any dispute arising from these Terms or our services shall first be addressed through good-faith negotiation. If unresolved within 30 days, the dispute shall be resolved through binding arbitration in Florida under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for matters involving intellectual property or confidentiality.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
14. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
15. Changes to These Terms
Font & Co. may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
