A reference number will be assigned to your formation request upon submission.
In the next few steps, you'll share your company name, entity type, founder details, and any
additional members or managers.
From there, our team personally handles the state filing with Florida. If you request it, we also
handle your EIN registration with the IRS, so you don't have to navigate either process yourself.
Most formations are completed within an estimated 3–5 business days. Before we begin, please
review and confirm the acknowledgments below.

Which One Should I Choose?
Both structures protect your personal assets, but they fit different situations. Here's a quick
comparison to help you decide.
LLC
Simpler to run: less paperwork, no required board meetings or minutes.
Flexible profit distribution among members, not tied to ownership percentage.
Popular for real estate holdings, consulting, and small owner-operated businesses.
Managed by its members, or by managers the members appoint.
Corporation
Preferred by investors and venture capital, since it can issue stock.
Clear structure with officers and directors, which some banks and licensing bodies expect.
Easier to bring on employees through stock options.
Requires more ongoing formality: authorized shares, officers, and record-keeping.
Key Terms Explained
Registered Agent
A person or company with a physical Florida address, designated to receive legal notices and
official state correspondence on behalf of your company. Florida law requires every LLC and
Corporation to have one.
Member-Managed vs. Manager-Managed
Member-managed means all owners (members) participate directly in running the company.
Manager-managed means owners appoint one or more managers (who may or may not be owners) to run
daily operations, similar to how a board appoints executives.
Authorized Shares
The maximum number of ownership shares your Corporation is allowed to issue. This is a ceiling,
not a requirement to issue all of them immediately. Many small businesses authorize between
1,000 and 100,000 shares.
Incorporator
The person who signs and files the Articles of Incorporation with the State of Florida. This is
often the founder, but can be anyone designated for this role. Their responsibilities end once
the corporation is filed.
Officers & Directors
Officers (e.g. President, Secretary, Treasurer) manage daily operations. Directors oversee major
decisions and company strategy. Florida allows one person to hold multiple roles, including
being the sole officer and director.
Principal Office Address vs. Mailing Address
The principal address is where your company is primarily located (must be a real street
address). The mailing address is where you receive correspondence, and can be different (a
P.O. Box is allowed here, but not for the principal address or registered agent).
